By accessing our website or engaging in any transaction with us, you (“the Client”) agree to be legally bound by these Terms and Conditions (“Terms”). These Terms apply to all sales, services, and communications between Eight Clip Trader Co., Ltd. (“we”, “us”, “our”) and the Client.

We offer the following B2B services:

• Wholesale supply of Korean cosmetic and skincare products

• OEM/ODM manufacturing and private label development

• Brand sourcing and export consulting

• Product registration advisory (e.g., FDA, BPOM, NPRA, etc.)
  All services are strictly for business use and not intended for individual or consumer transactions.

• Product specifications, prices, and availability may change without prior notice.

• Product visuals and descriptions are for reference only.

• We do not guarantee continuous stock or brand availability unless otherwise agreed.

• Orders are subject to Minimum Order Quantity (MOQ) or Minimum Order Amount (MOA), which may vary by brand or product type.

• Lead time is provided as an estimate and may change due to production schedules, materials, or regulatory factors.

• All orders must be confirmed in writing via email or signed agreement.

• Custom formulation and packaging design are provided per client specifications and require final approval before production.

• Clients are responsible for their own product registrations unless otherwise contracted.

• Intellectual property (IP) of OEM formulas remains with Eight Clip Trader Co., Ltd. unless officially transferred by written agreement.

• Default payment term: 100% advance or agreed-upon deposit & balance terms.

• Accepted methods: Bank transfer (T/T), PayPal, or other agreed methods.

• Late payments may result in delays or service suspension.

• Shipping follows Incoterms (EXW/FOB/CIF etc.) as specified per order.

• All duties, taxes, and import clearance in the destination country are the buyer’s responsibility.

• Risk and responsibility transfer upon delivery to the carrier.

• Returns are not accepted for customized or OEM goods.

• Damage or defect claims must be submitted within 5 business days of delivery, with photo or video proof.

• If fault is proven to be ours, a replacement or partial refund may be issued upon mutual agreement.

• All trademarks, product designs, logos, and branding materials remain the property of their respective owners.

• Clients shall not reproduce or misuse any intellectual property without written consent.

• OEM projects remain the property of Eight Clip Trader Co., Ltd. unless IP transfer is contractually agreed.

• All documents, pricing, and brand information shared during negotiation are confidential.

• Disclosure to third parties without prior consent is strictly prohibited.

• Clients are responsible for ensuring their products meet local cosmetic and regulatory standards.

• We are not liable for any misuse, false claims, or illegal marketing conducted by clients in their own jurisdictions.

• We offer regulatory advisory only, not legal guarantees.

We shall not be held liable for delays or failures due to circumstances beyond our control, including but not limited to natural disasters, governmental restrictions, pandemics, or shipping disruptions.

These Terms are governed by the laws of the Republic of Korea. Any disputes arising shall be settled in the competent courts of Seoul, South Korea.
